S Corp Basics Workshops - "S" Doesn't Stand for Simple

S corporations are a common and growing business entity type. The number of S corporations grew by 35% from tax year 2000 to 2006, for a total of nearly 4 million businesses in 2006. S corporations have also grown as a proportion of all business from 11.4% in 2000 to 12.6% in 2006.

Even "simple" S corporation can get surprisingly complicated if the shareholders and tax preparer are unaware of the tricks and traps that can trip up S corps. Not only are there issues for the S corporation, but shareholders as well since the tax items from the S corp return will flow-through to the individual shareholder's return.

Part 1 will cover the basics of making the S election correctly including late-election relief. This course will also cover the basics of basis and why you, and your S shareholder clients, should care about it. Learn about other S shareholder issues including home office considerations, reasonable salary and fringe benefits including retirement plan contributions and health insurance premiums.

Part 2 will explore both the corporate and individual tax returns for a single-shareholder S corporation line by line so you can see how to generate the corporate return and then how that information flows to specific lines in the individual return.

Your Instructor:

Linda Coleman is an Enrolled Agent with a small business tax & accounting practice in Los Gatos. Although the majority of her clients are S corporations & their shareholders, Linda assists both business owners and individuals with a variety of tax and financial matters including payroll & accounting services and tax planning & preparation.

Before striking out on her own Linda was the controller for several small businesses in Silicon Valley so she understands the day-to-day challenges small business owners face.

In addition to her private practice, Linda is also a member of the IRS Stakeholder Liaison Leveraged Small Business Tax Workshop Instructor Cadre. As part of this program, Linda teaches payroll seminars with representatives of the EDD in San Jose and Capitola and a variety of seminars on tax topics including Business Entity Selection and S Corporation Tax Topics at the San Jose SBA Entrepreneur Center and other IRS events.

Linda is a member of the National Association of Enrolled Agents, California Society of Enrolled Agents and is an Intuit QuickBooks ProAdvisor.

Linda received her Bachelor of Science in Accounting from the University of Oregon in Eugene and resides with her husband and two dogs in the Los Gatos Mountains.
